Senior Counsel – Huntington Equipment Finance, a division of The Huntington National Bank (HEF)

Huntington Equipment Finance has an exceptional opportunity for a talented lawyer to join our legal department at our downtown Cincinnati, Ohio location or other select Huntington locations. HEF offers a wide range of lease and loan transaction structures to businesses and government entities throughout the United States, including for manufacturing equipment, over-the-road vehicles, rail, marine, and aircraft.  HEF also provides financing for renewable energy projects and specialty finance companies.

Job Description

  • Review, negotiate and draft lease agreements, loan agreements, collateral documents, and other legal documents related to equipment finance transactions.
  • Provide advice and guidance on renewable energy and lender finance transactions, collaborate with external counsel on transaction documentation and due diligence, and support administration of existing transactions.
  • Advise the HEF Syndications team in connection with syndications of equipment finance lease and loan transactions and related documentation.
  • Provide advice and guidance to HEF and other internal teams (including Credit, Asset Management, Operations, and Compliance) on legal matters related to HEF businesses.
  • Review and assess legal risks associated with HEF transactions and recommend strategies to mitigate risks, protect the interests of HEF, and ensure compliance with applicable laws and regulations.
  • Collaborate with internal teams, clients and external counsel to identify legal issues, develop strategies, and provide practical legal solutions.
  • Stay updated on relevant laws and regulations, industry trends, and best practices, and provide proactive legal advice and guidance on their implications for HEF.
  • Build and maintain effective working relationships with internal and external stakeholder groups.

Basic Qualifications:

  • Bachelor’s Degree and Juris Doctorate.  Attorney should be eligible to be licensed as Corporate Counsel in Ohio or otherwise admitted to the Ohio Bar. Licensed attorney in any state with the ability to be admitted into state (OH) where job will be located.
  • Working knowledge of federal and state lending, servicing and collection laws and regulations
  • 3 + years of practicing law in an in-house legal department of a financial institution, a bank regulatory agency, or law firm focused on commercial financial services and products

Qualifications

  • Prior experience in commercial lending, equipment finance, and Articles 2A and 9 of the Uniform Commercial Code preferred.
  • Ability to deal effectively and confidently with attorneys, business leaders and management.
  • Excellent interpersonal, analytic and organizational skills, and written and verbal communication skills.
  • Ability to work independently with limited direction and set work priorities that conform to established standards.
  • Team player that has ability to work collaboratively with legal and business team members.
